Please read these terms carefully before using the Atlas Verify platform.
Agreement Overview
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Atlas Verify, Inc. ("Atlas Verify", "we", "us", or "our") governing your use of the Atlas Verify platform and related services (collectively, the "Service").
By registering for an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
Acceptance of Terms
- By accessing and using the Atlas Verify platform, you agree to be bound by these Terms of Service.
- You must be at least 18 years old and have the legal capacity to enter into contracts.
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
Platform Services
- Atlas Verify provides a platform for organic commodity trading with blockchain-verified certifications.
- We facilitate connections between verified organic growers and buyers worldwide.
- Our escrow service uses stablecoin payments to secure transactions between parties.
- We provide certification verification but are not responsible for the accuracy of third-party certifications.
- Platform availability is provided "as is" without warranties of uninterrupted service.
User Obligations
- Maintain valid organic certifications and provide accurate documentation.
- Conduct all trades in good faith and honor agreed-upon terms.
- Comply with all applicable laws and regulations in your jurisdiction.
- Not use the platform for any illegal, fraudulent, or unauthorized purposes.
- Respect intellectual property rights and confidential information of other users.
Fees and Payments
- Transaction fees are clearly disclosed before each trade is executed.
- All fees are paid in stablecoins or other approved cryptocurrencies.
- Escrow funds are released only upon meeting predetermined conditions.
- Users are responsible for any blockchain network fees (gas fees).
- Fee structure may be updated with 30 days notice to active users.
Risk Disclosure
- Cryptocurrency and stablecoin values can fluctuate despite stability mechanisms.
- Users are responsible for understanding blockchain technology and associated risks.
- Atlas Verify is not responsible for losses due to market conditions or user errors.
- Smart contracts, while audited, may contain unforeseen vulnerabilities.
- International trade involves regulatory risks that users must assess independently.
Prohibited Activities
- Misrepresenting product quality, origin, or certification status.
- Attempting to circumvent platform fees or security measures.
- Harassing, threatening, or defaming other platform users.
- Using the platform for money laundering or terrorist financing.
- Creating multiple accounts to manipulate ratings or evade restrictions.
- Sharing account access or allowing unauthorized use of your account.
Dispute Resolution
- Initial disputes should be resolved through our platform mediation service.
- Binding arbitration is required for unresolved disputes, conducted under AAA rules.
- Arbitration will be conducted in English and held virtually or in Delaware, USA.
- Class action lawsuits and jury trials are waived by using the platform.
- Small claims court remains available for qualifying disputes.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Atlas Verify's total liability is limited to the fees paid by you in the past 12 months.
- We are not liable for indirect, incidental, special, or consequential damages.
- Force majeure events release Atlas Verify from performance obligations.
- Third-party services and integrations are used at your own risk.
- We do not guarantee the quality or legality of traded commodities.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.
For users outside the United States, you agree to comply with all local laws regarding online conduct and acceptable content, including laws regulating the export of data to and from your country of residence.
Modifications to Terms
Atlas Verify reserves the right to modify these Terms at any time. We will provide notice of material changes through the platform or via email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.
